Corporate Governance
Corporate governance is a framework of principles, policies, procedures, and clearly defined responsibilities and accountabilities.
We aim to reach the highest standards of corporate governance that are appropriate to our risk appetite, strategic objectives and company values, taking into account the size and complexity of our firm.
We recognise our obligation to investors, regulators, shareholders and other stakeholders in providing services that are appropriate, well managed and meet or exceed minimum standards set out in law or regulations.
At the centre of this framework is our Board of Directors, which mixes executive management with independent non-executive management.
Executive Committee
The executive function conducts the day to day business, reporting through executive committees to the Board of Directors. The executives are responsible for achieving the strategic goals of the Firm, whilst promoting our company values.
Toby Ricketts, Chief Executive Officer
Toby joined Margetts in 1994 as an Investment Analyst and brings over 30 years of experience across investment management and firm leadership. He previously held the role of Chief Investment Officer before being appointed Chief Executive Officer (CEO) in 2011.
As CEO, Toby is responsible for the firm’s overall strategy and direction. Under his leadership, Margetts has grown organically and is recognised as a leading UK fund manager and Authorised Corporate Director (ACD). Toby remains lead manager of the Margetts Risk Rated Funds, which have received multiple awards for investment management.
Toby is a member of the Board, the Executive Committee and the Finance Committee.
Matthew Jealous, CFA, Chief Operating Officer
Matthew joined Margetts in 2002 as an Investment Analyst and brings extensive experience across investment management and firm leadership. He has served as lead fund manager on a number of funds and previously held the role of Chief Investment Officer before being appointed Chief Operating Officer (COO) in 2018.
As COO, Matthew is responsible for the firm’s resources, operational strategy and investment risk framework. He provides oversight across core operational functions, supporting strong governance, regulatory compliance and the effective management of risk as the business continues to grow.
In addition to being a member of the Board, Matthew sits on the Investment Risk Committee, Executive Committee, Finance Committee and Risk & Compliance Committee.
Ade Ogunnowo, FCCA, Chief Financial Officer
Ade joined Margetts in 2022 as Chief Financial Officer (CFO), bringing over 20 years’ experience in corporate finance and financial reporting across the financial services industry in Nigeria, Ireland and the UK.
As CFO, Ade is responsible for the firm’s financial strategy and oversight, including financial planning, risk management and capital adequacy (ICARA). His remit also includes scheme financial and tax reporting, as well as ensuring ongoing compliance with CASS regulations.
Ade is a member of the Board, the Executive Committee and the Risk & Compliance Committee. He is also the Chair of the Finance Committee.
Marcus Hand, Chief Risk and Compliance Officer
Marcus joined Margetts in 2024, bringing almost 20 years’ experience in senior Compliance and Risk roles within the industry. As Chief Risk and Compliance Officer, Marcus’ primary responsibilities are the independent oversight of the firm’s regulated activities and broader corporate governance and risk management frameworks. He also acts as Counsel to the firm’s Board and Executive Committees, ensuring full adherence to the Consumer Duty and all regulatory obligations and ethical practices throughout the pursuit of our strategic objectives.
Marcus is a member of the Executive Committee, the Risk & Compliance Committee, and the Product Governance Committee.
James Farquharson, Head of Operations
James began his career at Margetts in 2008, initially contributing to the fund research team. With a deep understanding of investment systems, he played a key role in establishing the firm’s Operations department.
As Head of Operations, James oversees the planning and delivery of Margetts’ core operational functions, including the oversight of the IT, Data Management and Development teams. James is also responsible for infrastructure, information security, system development and operational resilience, ensuring the firm’s systems and processes remain robust, secure, and scalable.
James is a member of the Executive Committee and also contributes to the Risk & Compliance Committee.
John Kalinski, Head of Investment Operations
John joined Margetts in 2010, beginning his career in NAV Construction and Fund Accounting. After gaining experience in these functions, he transitioned to the Operations team as a Senior Analyst where he focussed on enhancing internal processes and strengthening control frameworks. This eventually led him to specialise in Investment Operations.
As Head of Investment Operations, John’s main responsibilities relate to the operational aspects of the funds and the underlying assets. John oversees both the Investment Oversight and NAV Construction teams, alongside the operational delivery of new product launches or changes.
In addition to these responsibilities, John is the Chair of the Valuation Oversight Committee and is a member the Executive Committee and Investment Risk Committee. He also provides Counsel to the Product Governance Committee.
James Oddy, Head of Client Operations
James joined Margetts in 2021 bringing nine years of experience from Franklin Templeton and Vanguard. During his time there, he developed expertise in in-house transfer agency operations, vendor management, and the governance and oversight processes.
At Margetts, James is responsible for leading the Client Operations function, which includes the management of Client Services, Dealing and Registration, Marketing and Sponsor Relations. He helps to ensure that these teams deliver a seamless and client-focussed experience.
James is a member of the Executive Committee and chairs the Product Governance Committee.
Non-Executive Function
Non-executive directors are custodians of the governance process. They provide support and challenge when required to ensure that the corporate governance framework is effective and transparent. It is important for them to be independently minded, knowledgeable and provide a balance to executive directors on the Board. As an investment management company, the independent non executive directors have a clear responsibility to ensure that investors are treated fairly and are at the centre of operations.
James Harris, Chair of the Board

James was appointed to our Board in 2024, bringing with him Executive level experience across asset management, wealth management, workplace investing, intermediary platforms and insurance.
With over 25 years' experience, James has held senior roles across proposition strategy, product management, marketing and business development. James also comes with ExCo experience of governance and oversight of business performance, strategy, product and service delivery, operations, risk and reporting.
As Chair of the Board, James has responsibility for assessing the value delivered to investors, independent director representation and board composition, ensuring that we act in the best interest of investors.
Lisa Scott, Independent Non-Executive Director
Lisa joined our board in 2024, with 25 years’ international experience improving the risk profile and resilience of financial services firms, including ten years with the FCA supervising banks and fund managers.
Lisa set up and leads her own consultancy firm focused on governance, board evaluations, risk management and regulatory compliance. She holds a degree in Economics and Management from the University of Oxford.
It is important to Lisa to give back to the community by using her professional experience to add value to not-for-profits. She is currently a Trustee of a Multi Academy Trust (school) and she Chairs the Risk and Assurance Committee of a charity focusing on children’s health and well-being.
Alex Denny, Independent Non-Executive Director
Alex joined our Board in 2025 with over 20 years’ experience in investment management and distribution. He was previously Head of Investment Trusts at Fidelity International and Managing Director, European Private Wealth at Pantheon.
Alex is a recognised governance expert, sitting on the Institute of Directors' Commission as a Non-Executive Director. He is also a Non-Executive Director of Apax Global Alpha, a FTSE 250 listed private equity company and of the Association of Investment Companies (AIC). Alex also serves as Non-Executive Director for the University of Sussex Student Union Trading Company, and a trustee of the Nautical Archaeology Society.
Jerry Loy, Independent Non-Executive Director
Jerry joined Margetts in 2026 with over 30 years of experience across the private, public and not for profit sector, specialising in finance, risk, governance, and private wealth investments. He has worked with the UK Government Department for International Trade and the Japanese Ministry of Foreign Affairs in the design and implementation of foreign investment and cultural programmes. Prior to taking on portfolio roles, Jerry held responsibilities across a multitude of areas, including audit, finance, operations, technology and risk in the investment management and private banking sector.
He is a Fellow of the Institute of Chartered Accountants in England and Wales (ICAEW) and sits on two of the ICAEW's advisory committees.
